Terms of Service

1. Acceptance of Terms

By accessing, registering for, or using the NexusConvert API, web interface, or any associated services (collectively, the "Service"), you accept and agree to be bound by the terms and provisions of this agreement. This agreement constitutes a binding legal contract between you and NexusConvert. If you do not agree to abide by these terms, please do not use this service.

2. Description of Service

NexusConvert provides a cloud-based infrastructure for file conversion, media processing, and AI-driven data extraction. The Service includes our web portal, REST APIs, SDKs, and any associated software. We provide both free access (subject to rate limiting and fair use) and paid subscription tiers designed for enterprise and B2B usage.

3. User Responsibilities & Acceptable Use

  • Compliance with Laws: You agree to use the Service only for lawful purposes. You are strictly prohibited from uploading, processing, or transmitting any data that violates intellectual property rights, contains malware, or constitutes illegal material under applicable global laws.
  • Data Integrity: While we guarantee 99.9% uptime on enterprise tiers, we are not a data backup service. You remain fully responsible for maintaining original copies of your files. We are not liable for any data loss, corruption, or delays.
  • Security: You are responsible for safeguarding your API keys and account credentials. Any activity occurring under your account, including unauthorized access due to compromised keys, is your sole responsibility.

4. Payments, Subscriptions, and Billing

Our order process and payment processing are conducted by our Merchant of Record, Paddle.com, or via secure cryptocurrency gateways (e.g., NowPayments). Paddle provides customer service inquiries regarding billing and handles all statutory tax (VAT/Sales Tax) compliance.

Subscriptions automatically renew at the end of each billing cycle unless canceled prior to the renewal date. Enterprise pay-as-you-go credits do not expire as long as your account remains active. Failure to pay outstanding invoices may result in immediate suspension of API access.

5. Intellectual Property & License

NexusConvert grants you a limited, non-exclusive, non-transferable, and revocable license to access the Service. All underlying algorithms, ML models, source code, and branding remain the exclusive intellectual property of NexusConvert. You retain all rights and ownership to the data and files you submit to the Service.

6. Limitation of Liability & Disclaimer

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. NexusConvert explicitly disclaims all warranties of any kind, whether express or implied. In no event shall NexusConvert, its directors, or employees be liable for any indirect, incidental, special, or consequential damages arising out of your use of the Service.
